1. Who we are and what these terms cover
ParkProceeds (the “Service”) is operated by GrowTomorrow LLC, a Texas limited liability company (“we”, “us”). The Service is a web application at app.parkproceeds.com that helps licensed real-estate agents prepare seller net sheet estimates, as PDFs, for manufactured-home sales in Texas lease-lot parks. By signing in or otherwise using the Service you agree to these terms. If you use it on behalf of a brokerage or other organization, you confirm you are authorized to accept these terms for it.
2. Accounts
Access is by invitation only; there is no public sign-up. You are invited into an organization and sign in with a one-time code emailed to you. Keep your email account secure and do not share your access. You are responsible for activity under your account. We may suspend or remove any account or organization at any time, including for a breach of these terms or a security concern.
3. Estimates only
ParkProceeds produces estimates. A net sheet is not a closing statement, a settlement statement, or an offer, and it is not legal, tax, or financial advice. The title company’s or closing agent’s figures always govern. Actual charges, payoffs, prorations, and proceeds can differ from an estimate.
You are responsible for the information you enter and for reviewing every output before you share it with a seller or anyone else. We do not verify your inputs, and we do not guarantee that default fees or calculations match any particular transaction.
4. Your data and your clients’ data
You keep ownership of the information you enter and the estimates you create. You give us permission to store and process it to provide the Service, as described in our Privacy Policy. Agents are responsible for their own clients’ information: you must have a lawful basis to enter it and must comply with the laws and professional rules that apply to you.
5. Acceptable use
You agree not to:
- break the law or use the Service to mislead or defraud anyone;
- attempt to access other organizations’ data, or probe, disrupt, or bypass the security of the Service;
- scrape, resell, or reverse engineer the Service, or use it to build a competing product;
- upload malicious code or content you have no right to use (for example, a logo you do not own).
6. Our service and changes
We may change, add, or remove features at any time. We aim to keep the Service available but do not promise uninterrupted or error-free operation.
7. No warranty
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
8. Limitation of liability
To the fullest extent permitted by law, GrowTomorrow LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost commissions, or lost deals, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the fees you paid us for the Service in the 12 months before the claim arose.
9. Indemnity
You agree to defend and indemnify GrowTomorrow LLC against claims, losses, and costs (including reasonable attorneys’ fees) arising from your misuse of the Service, your breach of these terms, the information you enter, or your reliance on or distribution of an estimate.
10. Termination
You may stop using the Service at any time by contacting us. We may suspend or end your access at any time. Sections that by their nature should survive termination (including 3, 7, 8, 9, and 12) will survive. See the Privacy Policy for what happens to your data.
11. Changes to these terms
We may update these terms. We will give notice of material changes, for example by email or in the Service, before they take effect. If you keep using the Service after the effective date of a change, you accept the updated terms.
12. Governing law and venue
These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Texas, and you consent to their jurisdiction.
